2. Definitions
- Customer — the company, organisation or professional who buys a Course or service from the Academy for business purposes, as described in article 3.
- Participant — the natural person who uses an access to a Course bought by the Customer. When a professional buys for themselves, the Customer and the Participant are the same person.
- Seat — one access to one Course and Plan for one named Participant.
- Course — an online course offered by the Academy, including video lessons, texts, checklists, templates and other materials.
- Plan — the package chosen by the Customer (Basic or Comprehensive), as described on the course page.
- Platform — the online learning platform through which the Course is provided (LearnWorlds).
- Access Date — the date on which the Participant receives access to the Course. For an online order, access is granted immediately after payment.
- Launch offer — a launch price for the first participants of a Course, as stated on the course page (for the hydrangea course: the first 10 participants of each Plan).
3. Applicability and business customers
3.1 These Terms apply to all offers and agreements of the Academy for online courses, consultations, Q&A sessions, additional modules, nursery visits, internships and group licences.
3.2 General terms and conditions of the Customer do not apply.
3.3 The Academy's courses and services are intended exclusively for business customers: professional growers, farms, nurseries, companies, educational institutions, public bodies and other organisations, as well as entrepreneurs who are preparing to start a commercial growing business. The Academy does not conclude agreements with consumers buying for private purposes.
3.4 When ordering, the Customer confirms that the purchase is made for an existing or planned trade, business or profession. The Academy may ask for information that supports this, such as a company name, VAT or registration number, or a short description of the planned business. If an order turns out to be placed for private purposes, the Academy may cancel it and refund the amount paid.
3.5 A person who orders on behalf of a company or organisation confirms that they are authorised to do so.
4. Information on the course page and conclusion of the agreement
4.1 For each Plan, the course page states: the content, the language of instruction, the module release schedule, the access period, the number and format of Q&A sessions and consultations, whether a certificate is included, and the price.
4.2 A request, application or consultation form submitted on the website is not an order. It does not oblige the Customer or the Academy to conclude an agreement.
4.3 Online order. The agreement is concluded when the Customer completes the checkout and payment on the Platform. Before paying, the Customer accepts these Terms. Access is granted immediately after payment, and the Customer receives an order confirmation by email with these Terms attached or linked in the version that applies to the order.
4.4 Order by invoice. If the Customer asks to pay by bank transfer, the Academy sends a written order confirmation with an invoice and these Terms. The agreement is concluded when the Customer confirms the order in writing or pays the invoice. Access is granted after payment has been received.
4.5 Orders for several Seats, and licences for educational institutions or public bodies, are made in accordance with article 6.2.
4.6 The Academy may refuse an order on reasonable grounds. Any amount already paid is then refunded in full.
4.7 Obvious mistakes in prices or descriptions, such as typing errors, do not bind the Academy.
5. Prices, VAT and payment
5.1 Prices are in euros and exclude VAT. VAT will be applied where required by law. The VAT that applies is shown at checkout and on the invoice.
5.2 Online payments are processed by Stripe through the Platform. The available payment methods are shown at checkout.
5.3 Payment is due in full before access is granted, unless otherwise agreed in writing. Invoices must be paid within 14 days of the invoice date.
5.4 The price shown at the moment of ordering applies. During a Launch offer, the launch price applies to the number of first participants stated on the course page. Once that number has been reached, the regular price applies. Later price changes do not affect orders already placed.
5.5 Bank charges for international transfers are paid by the Customer.
5.6 If an invoice is not paid on time, the Academy may suspend access after a written reminder.
6. Seats, group orders and access to the Course
6.1 Each purchase gives one Seat for one named Participant.
6.2 A Customer may buy several Seats, for example for employees or students. Orders for several Seats, and licences for educational institutions or public bodies, are confirmed in a written offer or order confirmation stating the number of Seats, the Plan, the access period and how Participants are registered. Such an agreement is concluded when both parties have signed it or the Customer has accepted the offer in writing. An offer is valid for the period stated in it. The agreement may set a group price and a different payment schedule. Each Seat remains tied to one named Participant. These Terms apply, unless that written agreement says otherwise.
6.3 The Customer may replace a named Participant free of charge as long as that Participant has not yet logged in to the Platform. After that, a Seat can be transferred to another Participant only with the Academy's written consent.
6.4 Login details are personal. One Seat may not be used by more than one person.
6.5 Modules are released according to the schedule on the course page (for the hydrangea course: modules 1–3 immediately after access is granted, then one module per week).
6.6 Access lasts for the period of the Plan: 6 months for Basic and 12 months for Comprehensive, counted from the Access Date.
6.7 The Customer is responsible for a suitable device and internet connection.
6.8 The Academy may update and improve the Course during the access period, provided that the essential content of the purchased Plan is maintained.
7. Q&A sessions, consultations and certificate
7.1 Basic includes one online group Q&A session. The session is recorded, and the recording is available on the Platform during the access period.
7.2 Comprehensive includes four individual online consultations of 60 minutes each. The Participant chooses the pace, for example one consultation every week or every two weeks, within the access period. Consultations are held in English. On request, the Academy provides interpretation into another language it offers, such as Russian, free of charge.
7.3 Consultations are for the Participant's questions about the Course topics and how to apply them. They do not include an audit of the Customer's farm, an individual cultivation plan or a business plan prepared for the Customer. Such services can be ordered separately. Advice given in consultations is based on the information provided by the Participant; article 12 applies.
7.4 Consultations are scheduled by mutual agreement and must be used within the access period. A consultation can be rescheduled free of charge up to 24 hours before the agreed time. A consultation missed without notice counts as used. Unused consultations expire at the end of the access period.
7.5 Individual consultations are recorded only with the consent of the Participant and the Academy.
7.6 A certificate is issued only to Participants of the Comprehensive Plan who complete the conditions stated on the course page. Basic does not include a certificate. The certificate confirms completion of an Academy course; it is not a state-recognised diploma or qualification.
8. Nursery visits and internships
8.1 Nursery visits and internships in the Netherlands are arranged by separate written agreement on date, programme, price and cancellation terms.
8.2 Unless stated otherwise, the price includes only the visit or internship with a specialist. Travel, visa, insurance, accommodation, meals and other costs are not included. The Customer is responsible for obtaining any visa and insurance.
9. Cancellation by the Customer
9.1 An unpaid invoice may be cancelled free of charge. Once payment has been made, the order is final and is not refunded, also if access has not yet been granted. This does not affect the Customer's rights under article 10 if the Academy does not deliver as agreed.
9.2 For an online order, access is granted immediately after payment. Once access has been granted, the payment is not refunded if the Customer decides to stop using the Course. This does not affect the Customer's rights under article 10 if the Academy does not deliver as agreed.
9.3 Cancellation of separately ordered services (article 8) follows the written agreement for that service.
9.4 Cancellations must be sent by email to info@greencontrolacademy.com. The Academy confirms the cancellation by email.
10. If the Academy cannot deliver as agreed
10.1 If an instructor is unable to hold a scheduled session or consultation, the Academy offers a new date within a reasonable time, or another instructor with comparable expertise. If no new date can be offered within two months, the Customer may choose a refund of a reasonable proportion of the Plan price for that part of the service. A session or consultation postponed by the Academy may also take place after the end of the access period.
10.2 If the Platform is unavailable for more than 72 consecutive hours, excluding maintenance of reasonable duration announced in advance, the access period is extended by the duration of the outage.
10.3 If modules are released more than 30 days later than the schedule on the course page, the access period is extended by the delay. If the delay exceeds 60 days, the Customer may also choose a refund in proportion to the modules not yet released.
10.4 If the Academy stops offering a Course before the end of the access period, the Customer receives a refund in proportion to the remaining access period, or an equivalent alternative if the Customer agrees.
10.5 These Terms do not limit the Customer's rights under Dutch law if the Academy fails to perform its obligations.
11. Use of materials
11.1 All rights to the Course and its materials belong to the Academy or its licensors, including the instructors.
11.2 For each Seat, the Participant receives a personal, non-exclusive and non-transferable licence to use the materials during the access period for their own learning and for applying the knowledge within the Customer's own farm or business.
11.3 It is not permitted to:
- share login details or let others use a Seat;
- download, record or capture videos or sessions, unless the Platform offers a download;
- copy, publish, share, sell or otherwise distribute the materials;
- use the materials to teach or train third parties on a commercial basis;
- use the materials, including with AI tools, to create a competing course or training product.
11.4 Materials that the Course allows to be downloaded, such as checklists and templates, may be kept and used within the Customer's own business after the access period, but may not be distributed.
11.5 In case of a breach of this article, the Academy may block access after a written warning, or immediately in case of a serious breach such as sharing login details or publishing materials. No refund is given in that case. The Academy may also claim compensation for the damage it suffers.
12. Results and liability
12.1 The Course is based on growing in the Netherlands: the Dutch climate, growing systems, plant material, products, prices and regulations. Results in other countries depend on local climate, water, soil, plant material, available products, legislation and markets, which the Academy cannot control. The Academy does not guarantee any yield, harvest, quality or financial result.
12.2 Applying and adapting the knowledge to local conditions is the Customer's own responsibility. The Academy has no way of checking what the Customer applies, how and when. The Academy is therefore not responsible for decisions taken or actions carried out by the Customer, in the Netherlands or in any other country. Calculations, budgets, prices, yields and business plan examples in the Course are educational scenarios based on Dutch conditions and stated assumptions; they are not individual advice. Consultations help the Participant translate the Course to local conditions, but they are based on the information the Participant provides and do not change this responsibility. The Customer remains responsible for checking local conditions, legislation and plant health rules, and for obtaining local professional advice where needed. This does not exclude the Academy's obligation to perform the agreed services with reasonable professional care, subject to the limitations in this article.
12.3 The Academy's liability is limited to the amount the Customer paid for the service concerned.
12.4 The Academy is not liable for indirect damage, such as loss of profit, loss of harvest or business interruption.
12.5 The limitations in this article do not apply in case of intent or deliberate recklessness (opzet of bewuste roekeloosheid) on the part of the Academy or its management, or where mandatory law does not allow them.
12.6 A claim for damages must be reported to the Academy in writing within two weeks after the Customer discovered the damage, describing the circumstances and providing the supporting information reasonably available.
12.7 The agreement is concluded with the Academy only. Instructors, consultants and other persons engaged by the Academy, such as Ard van Klaveren, may invoke all limitations of liability in these Terms as if they were parties to them (third-party clause, derdenbeding).
13. Force majeure
13.1 Force majeure means circumstances beyond the Academy's reasonable control, such as failures of the Platform, payment provider or internet services, serious illness of an instructor, government measures, sanctions or restrictions on international payments.
13.2 In case of force majeure, the Academy will offer new dates or extend the access period as described in article 10. If force majeure lasts longer than 60 days, either party may end the agreement for the part not yet delivered, and the Customer receives a refund for that part.
14. Complaints
14.1 Complaints can be sent to info@greencontrolacademy.com, preferably within 14 days after the Customer noticed the problem.
14.2 We confirm receipt within 5 working days and respond on the substance within 14 days.
15. Privacy
15.1 The Academy processes personal data as described in its Privacy Policy.
15.2 A Customer who registers employees, students or other Participants is responsible for informing them that their data will be shared with the Academy for this purpose.
16. Changes to these Terms
The Academy may update these Terms. Changes apply only to agreements concluded after the new version is published. The version accepted by the Customer when ordering remains valid for that order.
17. Language
These Terms may be translated into other languages. In case of differences, the English version prevails.
18. Applicable law and disputes
18.1 Dutch law applies to these Terms and to all agreements with the Academy.
18.2 The parties will first try to resolve a dispute by mutual consultation.
18.3 Disputes that cannot be resolved by consultation are settled as follows. If the Customer is established in the European Union, disputes are submitted to the competent court in the district where the Academy has its registered office, subject to mandatory rules of jurisdiction. If the Customer is established outside the European Union, disputes are finally settled by arbitration in accordance with the Arbitration Rules of the Netherlands Arbitration Institute (NAI) by one arbitrator; the place of arbitration is Amsterdam and the proceedings are conducted in English. A written agreement under article 6.2 may provide otherwise.
